Clause 1. Brand
The Supplier allows to sell their device with ��Patrol Hawk�� trade mark and the other trade marks Customer requested in the market.

Clause 2. Pricing
The Supplier will play a role as not only a supplier, but also as the one who helps Customer to purchase and sell for win-win business. In order to keep Customer��s marketing competition, The Supplier shall provide GSM-HOME original manufacturing price in US dollar. Because of the appreciation of RMB currency, the increase in raw material & labor pay etc., the Supplier has right to ask for increasing the unit price. Regarding any changes to the price, The supplier shall inform the other side with written notice at least 15 days before these are due to come into effect.

Clause 3. Payment Terms
For samples, T/T 100% in advance.
For official order, T/T 40% for deposit, T/T 60% paid for the balance 5 days before the shipment for order.

Clause 4. Packaging
The Supplier agrees to design the packaging as per GSM-HOME��s requirements, but your end must provide our side relevant photos, silk-screen contents, specification etc., timely to make sure everything in compliance with your standard.
OEM and ODM will also be welcomed.

Clause 5. Inspection
Prior to shipment, the Supplier shall diligently perform all necessary, required, and appropriate quality control measures, and shall certify that the Products have passed such measures. All the products shall be made 100% inspection before shipment.

The customer must submit the inspection reports which include the inspection of quality and quantity in five days after received the products. In the event the buyer can not deliver these reports in five days after received the products, the Supplier will regard all the goods have been passed the inspection.

Clause 6. Delivery
The supplier shall ship the goods to customer according to the lead time required in the Purchase order after receiving all the payment. The supplier has also good shipping channels to Russia, which can
provide all kinds of shipping service including courier (such as DHL, UPS, FedEx, EMS TNT so on), air-freight and sea freight as well as help the customer to choose best shipping company and lowest shipping cost.

If the supplier delays to send out the goods due to their fault, the loss caused by delay must be afforded by supplier. Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

Clause 7. Repairing and Warranty
Regarding the repairing problem, the supplier shall give the customer relevant instructions on how to repair so that your end can resolve some product problems and save some time & cost. If it is difficult for the customer to repair, the customer can return them to us to repair. The supplier shall assign a professional engineer to serve you for all the technical supporting and after-sales services to make sure resolve the problems efficiently.
Warranty: Replace in initial three months, repair for free within one year, maintenance all the time.
The Supplier shall provide relative maintenance and replace some parts for free in one year if the product is damaged due to the quality, such as the defect of the design, poor material quality and workmanship ( not include: damage by people, tear open the packing without permission, appearance damage, short of accessories). Relative fee must be paid by user for exceeding time limit.

Clause 8. Unique representative
In order to test the market ability of the supplier��s product in Russia market and continue efforts in building a larger turnover to justify the sole agency arrangement, the supplier shall give the customer six months of trial period for unique representative. If everything turns out satisfactory after the trial period, the supplier shall consider the customer as the authorized unique representative in Russia

Clause 9. Confidentiality
The parties hereto shall neither disclose nor divulge to any third parties any engineering, technical know-how or business secrets related to the products, which either party may acquire as a result of this Agreement, or any information regarding this Agreement, during the term of this Agreement and for five (5) years thereafter.

Clause 10. Arbitration
Any dispute arising from or in connection with the contract shall be settled through friendly negotiation. In case no settlement can be reached, the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC), Shenzhen Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

Clause 11. Effective Date
It becomes into effected from the signing date of this agreement
